A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, CREATING AN AD HOC BUSINESS
ADVISORY COMMITTEE TO PROVIDE RECOMMENDATIONS TO THE
VILLAGE COUNCIL ON MATTERS AFFECTING BUSINESSES LOCATED
WITHIN THE VILLAGE; PROVIDING FOR THE APPOINTMENT OF
MEMBERS; PROVIDING FOR DUTIES; PROVIDING FOR PROCEDURAL
REQUIREMENTS; PROVIDING FOR A LIMITED DURATION; AND
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, Section 2-1(c) of the Village Code of Ordinances authorizes the Village Council to
establish ad hoc committees of limited duration by resolution; and
WHEREAS, the Village Council wishes to establish an ad hoc Business Advisory Committee to
provide recommendations to the Village Council on matters affecting businesses located within
the Village; and
WHEREAS, the Village Council further wishes to establish the composition and duties of the
Committee and the procedural requirements applicable to the conduct of the Committee's
business; and
WHEREAS, the Village Council determines that the establishment of the Business Advisory
Committee is in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby establishes an ad hoc Business Advisory Committee
("Committee") to advise the Village Council on matters affecting businesses located within the Village.
Section 3. The Committee shall consist of nine (9) members appointed by the Village
Council. Each member of the Committee shall be an owner, officer, manager or administrative
employee of a business operating within the Village's corporate limits. The Village Council
shall appoint members from each of the three primary categories of businesses operating within
the Village: (1) retail businesses; (2) professional services; and (3) personal services. Each
member of the Committee shall serve without compensation at the pleasure of the Village
Council and may be removed with or without cause by a vote of the Village Council.
Section 4. The Committee's initial duty shall be to review and study the Village Sign Code
and explore the feasibility of amending the Village Sign Code to provide increased visibility for
• area businesses without diminishing the unique character of the Village. The Village Council
may assign additional duties as it deems advisable and appropriate. Additionally, the Committee
may convene future business forums on a quarterly basis as it deems necessary.

Section 5. At its first organizational meeting, the Committee shall elect from its membership
• a Chairperson, a Vice Chairperson and a Secretary. The Chairperson shall preside over the
Committee's meetings and the Vice Chairperson shall preside over the meetings in the
Chairperson's absence. At any meeting where the Chairperson and Vice Chairperson are absent,
the Committee shall appoint a Chairperson Pro Tempore to assume such duties. The Secretary
shall be charged with preparing minutes of each meeting.
Section 6. The Committee shall adhere to the basic rules of parliamentary procedure as
outlined in Section 2-1(j) of the Village Code of Ordinances. A quorum for the transaction of
Committee business shall be five (5) members. Each Committee member shall attend meetings
in person and shall not participate or vote on any matter by telephone, video conferencing or any
other electronic means. Members shall notify the Chairperson if they are unable to attend a
scheduled meeting.
Section 7. The Committee shall establish a meeting schedule and shall endeavor to meet at
least monthly. The Committee shall advise the Village Clerk of its meeting schedule so that the
Clerk's Office can publish the required notices.
Section 8. The Committee shall remain in existence for one (1) year from the date that the
Village Council appoints its membership unless otherwise extended or modified by the Village Council.
Section 9. This Resolution shall take effect immediately upon its adoption.
