10-21-2004 VC SP-MMINUTES OF THE SPECIAL SESSION • VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA OCTOBER 21, 2004 Present: Donald G. Noel, Mayor Charles R. O'Meilia, President Pro Tem David B. Norris, Councilman Robert F. Rennebaum, Councilman Doug Smith, Acting Village Manager George W. Baldwin, Village Attorney Melissa Teal, CMC, Village Clerk Absent: Dr. Edward M. Eissey, Vice Mayor ROLL CALL Mayor Noel called the meeting to order at 7:00 p.m. All members of Council were present, except Vice Mayor Eissey, who was out of town. All members of staff were present. RESOLUTION 69-2004 ADOPTED -APPROVING VILLAGE MANAGER EMPLOYMENT AGREEMENT • Councilman Rennebaum moved that Resolution 69-2004 entitled: A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK TO ENTER INTO AN EMPLOYMENT AGREEMENT WITH MARK BATES ATTACHED AS EXHIBIT "A", WHICH AGREEMENT APPOINTS MARK BATES AS VILLAGE MANAGER FOR AN INDEFINITE TERM; AND, PROVIDING FOR AN EFFECTIVE DATE be adopted. President Pro Tem O'Meilia seconded the motion. The following corrections and changes (as underlined) to the agreement were discussed: Section 7, Removal of Village Manager, subsection A(3): revise to read "The Village shall maintain at its expense the insurances that cover the Manager and his dependents, as outlined in Section 10, below, for the months that the Village is obligated to continue salary and benefit payments to the Manager." Section 8, Vacation and Sick Leave: the last sentence was revised to read "The Manager shall be entitled to use un to five (51 vacation days immediately, which will be deducted from the fifteen (15~days which would accrue durin ing itial year." • Section 10, Health, Dental, Life and Disability Insurance: subsections A and D: change "family" to dependents; revise subsection C to read "The Manager may obtain his own disability Minutes of Special Session October 21, 2004 • insurance and the Village shall reimburse him up to the amount that it would pay if he were covered under the Village's policy"; and revise the first sentence in subsection D to read "The Village shall pay one hundred percent (100%) of all health and dental msurances provided to Manager at the hi hest percentage of the cost provided to any other Village employee for his dependents and all insurances shall become effective on the Manager's starting date." Section 13, Retirement and Deferred Compensation: this section was revised to include language specifying that the Village agrees to establish a 402-a retirement program with ICMA for the Mana eg r and provide the Manager with a percent of his annual base salary that he may invest into the manager's investment plan, and that "The Village 401-a program shall require a Manager contribution of 7% of his base salary." Councilman Rennebaum moved to approve the amendments. President Pro Tem O'Meilia seconded the motion, and all present voted aye. Thereafter, the motion to adopt Resolution 69-2004, as amended, was approved unanimously. MOTION TO INTERVENE IN LAWSUIT CONCERNING VOLUNTARY ANNEXATION CHARTER AMENDMENT DEFERRED Discussion took place regarding the Village intervening on the side of the plaintiffs, Village of Wellington and City of Delray Beach vs. Palm Beach County and Theresa LePore, Supervisor of Elections, challenging the right of the Palm Beach County Commission to create an ordinance regarding municipal annexation.
