OF LAND IN ANNEXATION AREAS OWNED BY REGISTERED ELECTORS; AND, PROVIDING FOR AN I;I~FECTIVE DATE. BF, l'I' RESOLVED BY THF; VILLAGE COUNCIL OF NORTH PALM BEACH, PLORIUA: Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve the agreement with land Research Management, Inc., attached as Exhibit "A", which agreement is for the purpose of conducting an analysis of the proposed annexation areas of Lost Tree Village, 1'orlage landing and Hidden Key and to determine ownership percentage of land in annexation areas owned by registered electors. Section 2. The Village Council does hereby authorize and direct the Mayor and Village Clerk to execute the agreement with land Research Management, Inc., attached as Exhibit "A" for and on behalf ofthe Village of North Palm Beach. CLERK r i~ 1~ AGREEMENT AGREEMENT made by and between the Village of North Palm Beach, Florida, (herein referred to as the "Village") and Land Research Management, Inc. WITNESSETH WHEREAS, the Village desires to appoint a Consultant to prepare a study of Palm Beach County Property Appraiser and Palm Beach County Supervisor of Elections data, as they relate to annexation requirements pursuant to Florida law; and WHEREAS, Land Research Management, Inc. has established itself as a qualified consulting firm capable of completing said study; and WHEREAS, Land Research Management, Inc. wishes to accept appointment as Consultant for the Village under the terms and conditions stated herein. NOW, THEREFORE, the parties hereto do mutually agree as follows: I. DUTIES. The Village hereby appoints Land Research Management, Inc., (hereinafter referred to as "LRM, INC.") as its Consultant to perform the duties as specitied herein. H. SCOPE OF SERVICES. A. LRM, INC. shall complete the scope of services, per ATTACHMENT A, hereto. B. The Village shall: 1. Provide any and all Village data, records, information and materials necessary for completion of the study. 2. Be responsible for reproduction of the necessary copies of the documents prepazed by LRM, INC. pursuant to the Scope of Services. 3. Procure necessary maps and data from the Palm Beach County Property Appraiser and Palm Beach County Supervisor of Elections. III. COMPENSATION AND METHOD OF PAYMENT A. LRM, INC. shall be compensated for preparation of the documents set forth herein in the amount offive-thousand dollars ($5,000.00). • -1- B. LRM, INC. shall invoice the Village on or before the 1 " day of each month for services rendered by LRM, INC. during the previous month. Payments shall be received by LRM, INC. on or before the 15th of each month. C. Non-payment on or within the herein specified dates or time period shall, at the option of LRM, INC., result in the immediate ceasing of all remaining or continual services as set forth above and shall remain so until payment is received by LRM, INC. IV. TIME OF PERFORMANCE. A. Work performed by LRM, INC. shall commence upon execution of this Agreement by both parties, and continue through submittal and approval by the Village of the work products prepared hereunder. B. Nothing in this Agreement shall prevent, limit or otherwise interfere with the right of the Village to immediately terminate the services of LRM, INC., at any time with or without cause. LRM, Inc. shall be paid for its services rendered to date of termination of the Agreement. V. GENERAL STATEMENTS. A. If the Village desires additional or continued assistance by LRM, INC., in, furtherance of the adoption of the Comprehensive Plan amendments, LRM, INC. agrees to perform such work on a chargeable rate of Eighty-Five Dollars ($85.00) per man hour, plus reimbursable expenses. B. LRM, INC. shall be authorized under the terms of this Agreement to subcontract professional services if, and when, deemed necessary in the performance of the. aforementioned work elements. The costs of all such work so subcontracted shall be included in the compensation payable to LRM, INC. C. No modification or change of this Agreement shall be valid or binding upon the parties, unless in writing and executed by the party or parties to be bound thereby. D. In the event that any part, term or provision of this Agreement is found by a court of competent jurisdiction to be illegal, the validity of the remaining portions and provisions shall not be affected and the rights and obligations of the parties shall be construed and enforced as if this Agreement did not contain the particular part, term or provision held to be so invalid. • -2- E. In the event of a breach of this Agreement requiring the services of attomeys, • the prevailing party shall recover attomeys fees and costs, whether or not the matter results in litigation and whether or not litigation results in appeal. Study Purpose: Pursuant to the requirements of Chapter 171.0413 (5), Florida Statutes, the purpose of the study is to determine if more than 70% of the land within the study area is owned by individuals, corporations, or legal entities which aze not registered electors in Palm Beach County. Tg~ pescription Responsibility 1 Procure Property Appraiser maps for annexation azea Village 2 Procure Property Appraiser records for annexation area Village Using Property Appraiser maps and records, determine ranges of street addresses within annexation area LRM Using street address ranges, procure voter registration data from Supervisor of Elections Village Procure copies of recorded plats and/or site plans for each subdivision, or multiple-family development. Determine size (acreage) ofnon-residential components (e.g.: Golf courses; roads; water management tracts, etc.) LRM 6 Using data procured in Tasks 2 and 4, create a spread sheet, by subdivision or multiple-family development, indicating the following data for each lot, or condominium unit owner, as appropriate: Subdivision name; LoUUnit No.; Size of lot (acres); Street address of lot/unit; No. of dwelling units at address; Owner name; Owner address; Homestead Exemption status; No. of registered voters at address; Names of registered voters at address. LRM 7 Aggregate and summarize data prepared in Tasks 5 and 6, by subdivision or multiple-family development. LRM 8 Using Property Appraiser maps, indicate lots where a registered voter(s) resides.
