BI?ACI1, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK
7'O EXECU'fl; A CONSENT TO ASSIGNMENT ATTACHED AS EXHIBIT "A", WHICH
CONSIiN"1 IS FOR ASSIGNMENT 1'O EMPLOYERS MUTUAL, INC. (EMI) OF THAT
CI:R7'AlN ADMINISTRATION CONTRACT FOR SERVICES DATED MAY 22, 1997, AND
EN"1'ERED INTO BY ANU BETWEEN THE VILLAGE OF NORTH PALM BEACH AND
MCCRI?ARY CORPORA7lON, AS ADMINISTRATOR; AND, PROVIDING hOR AN
1?FFI?CTIVIi llATE.
WHI?REAS, Village of North Palm Beach and McCreary Corporation entered into an
Administration Contract for Services dated May 22, 1997, wherein McCreary Corporation was to
furnish administrative and claim services for medical expense benefits, life insurance and
reinsurance under the Employee Benefit Plan of the Village; and
WI11?RIsAS, McCreary Corporation and Employers Mutual, Ina (EMI) entered into a plan of merger
wherein McCreary Corporation would be merged with EMl and EMI would be the surviving
corporation; and
W 1IIsRI;AS, Articles of Merger for EMI, the surviving corporation, were filed and approved by the
Secretary of State of Florida on December 12, 2001; and
WI ll?RI?AS, EMI requests the Village execute a consent of such Assignment attached as Exhibit "A"
whereby 1sMI would be inserted in the place of McCreary Corporation and perform all the terms and
conditions of the Administration Contract called for on the part of McCreary Corporation.
BE 1T RIiSOLVI:D BY 7"HE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA:
Section 1. The Village Council ofthe Village of North Palm Beach, Florida, does hereby approve
the Consent to Assignment attached as Exhibit "A", which consent is for Assignment to EMI of that
certain Administration Contract for services dated May 22, 1997, and entered into by and between
. the Village of North Palm Beach and McCreary Corporation, as Administrator.
Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the Consent
• to Assignment attached as F,xhibit "A" for and on behalf of the Village of North Palm Beach.
Section 3. This resolution shall take effect immediately upon its adoption.

Re: Ow Agreement
As you are probably aware, McCreary Corporation has a wholly owned subsidiary
corporation -Employers Mutual, Inc., also known as EMI. EMI has offices in
Jacksonville, Florida and Albuquerque, New Mexico and has been owned by McCreary
Corporation since January 1997. EMI has many state licenses and clients throughout the
United States, while McCreary Corporation operates only within the State of Florida. We
aze now positioned to combine into one corporate structwe. With EMI's multi-state
reach, it is the obvious choice to be the corporate name.
Effective January 1, 2002, McCreary Corporation will execute a reverse merger with
EMI and EMI will be the corporate survivor.. Contractually, this will require a written
assignment of McCreary Corporation's contracts to EMI.
The staff, management, location and operations will continue as it has previously.
