2005-055 Cross Parking Agreement - 1st Unitarian ChurchRESOLUTION 55-2005 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK TO ENTER INTO A CROSS PARKING AGREEMENT WITH THE FIRST UNITARIAN UNIVERSALIST CONGREGATION OF THE PALM BEACHES ATTACHED AS EXHIBIT "A", WHICH AGREEMENT PROVIDES FOR CROSS PARKING WHEREBY THE CHURCH CAN UTILIZE PARKING AT THE VILLAGE PUBLIC SERVICE BUILDING AND THE VILLAGE CAN UTILIZE PARKING AT THE FIRST UNITARIAN CHURCH; AND, PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA: Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve the Cross Parking Agreement with The First Unitarian Universalist Congregation of the Palm Beaches attached as exhibit "A", which agreement provides for cross parking whereby the church can utilize parking at the Village Public Service building and the Village can utilize parking at the The First Unitarian Church. Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the Cross Parking Agreement as set forth in Exhibit "A" for and on behalf of the Village of North Palm Beach. Section 3. This resolution shall take effect immediately upon its adoption. PASSED AND ADOPTED THIS 23rd DAY OF JUNE, 2005. ATTEST: VILLAGE CLERK Exhibit "A" CROSS PARKING AGREEMENT THIS CROSS PARKING AGREEMENT is made and entered into this o2~~ day of '~~''~ , 2005 by and between VILLAGE OF NORTH PALM BEACH, a municipal corporation, sometimes hereinafter referred to as "VILLAGE" and THE FIRST UNITARIAN UNIVERSALIST CONGREGATION OF THE PALM BEACHES, also known as FIRST UNITARIAN CHURCH, sometimes hereinafter referred to as "CHURCH." WITNESSETH: WHEREAS, VILLAGE'S Public Service Department located at 645 Prosperity Farms Road, North Palm Beach, Florida, has need of additional parking during the work week and is desirous of utilizing parking spaces of the CHURCH located at 635 Prosperity Farms, North Palm Beach, Florida; and WHEREAS, CHURCH has need of additional pazking on weekends and is desirous of utilizing parking spaces of the Public Service Department located at 645 Prosperity Farms Road, North Palm Beach, Florida. NOW, THEREFORE, in consideration of the promises mutually exchanged in this Agreement, for other good and valuable considerations, the receipt and sufficiency of which is acknowledged, the parties agree as follows: Cross Pazkin~ The parties agree to a Cross Parking arrangement as follows: A. VILLAGE shall have the right from Monday through Friday, inclusive, to park up to thirty (30) vehicles in the parking lot of CHURCH located at Cross Parking Agreement Page 2 635 Prosperity Farms Road, North Palm Beach, Florida. B. CHURCH shall have the right to utilize parking spaces in front of the VILLAGE's Public Service Building located at 645 Prosperity Farms Road, North Palm Beach, Florida, on Saturdays and Sundays of each week during the term of this lease. 2. Compensation: At the inception of this Agreement, VILLAGE shall pay CHURCH in advance the sum of three hundred dollars ($300.00) per month for the initial term of this lease and for each month thereafter that the Agreement might be extended. If either party cancels the Agreement as set forth in this Agreement, the three hundred dollar ($300.00) monthly compensation to CHURCH shall be adjusted accordingly. CHURCH shall not pay VILLAGE compensation for utilization of parking at VILLAGE's Public Service Building. 3. Term: The initial term of this Agreement is one (1) year commencing upon full execution of this Agreement by the parties. Upon expiration of the initial term, the Agreement shall continue until such time as either the CHURCH or the VILLAGE gives the other party ninety (90) days written notice of termination of the Agreement. 4. Indemnification: A. VILLAGE agrees to indemnify and save and hold CHURCH harmless of and from any and all claims, costs, losses and damages resulting from or pursuant to the VILLAGE exercising its parking rights at CHURCH, which indemnification shall include, but not be limited to, a reasonable Cross Parking Agreement Page 3 attorney's fees and all costs in CHURCH defending itself both at the trial and appellate levels. B. CHURCH agrees to indemnify and save and hold VILLAGE harmless of and from any and all claims, costs, losses and damages resulting from or pursuant to the CHURCH exercising its parking rights at VILLAGE, which indemnification shall include, but not be limited to, a reasonable attorney's fees and all costs in VILLAGE defending itself both at the trial and appellate levels.
