2000-063 2nd Amendment to Restaurant Lease• RESOLUTION 63-2000 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK TO ENTER INTO A SECOND AMENDMENT TO LEASE AGREEMENT TO CONDUCT FOOD AND BEVERAGE OPERATIONS AT THE NORTH PALM BEACH COUNTRY CLUB WITH J.E.D.L., INC., BY DELETING SUBSECTION F OF SECTION 9, LESSOR OBLIGATIONS, TO DELETE THE REQUIREMENT OF THE VILLAGE TO ESTABLISH AND IMPLEMENT A MINIMUM RESTAURANT CHARGE OF TEN DOLLARS ($10.00) FOR ANNUAL GOLF MEMBERSHIP; AND PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA: Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve the Second Amendment to Lease Agreement to Conduct Food and Beverage Operations at the North Palm Beach Country Club with J.E.D.L., INC., attached as Exhibit "A", which Second Amendment is for the purpose of deleting the Village requirement of establishing and implementing a minimum restaurant charge of Ten Dollars ($10.00) per month for annual golf membership. Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the Second Amendment to Lease Agreement to Conduct Food and Beverage Operations at the North Palm Beach Country Club with J.E.D.L., INC., set forth in Exhibit "A" for and on behalf of the Village of North Palm Beach. Section 3. This resolution shall take effect immediately upon its adoption. PASSED AND ADOPTED THIS 12th DAY OF OCTOBER, 2000. (Village Seal) MAYOR • ATTEST: ~%/7( i~ VILLAGE CLERK EXHIBIT "A" • SECOND AMENDMENT TO LEASE AGREEMENT TO CONDUCT FOOD AND BEVERAGE OPERATIONS AT THE NORTH PALM BEACH COUNTRY CLUB THIS SECOND AMENDMENT is to that certain Lease Agreement to Conduct Food and Beverage Operations at the North Palm Beach Country Club dated the 29th day of October, 1999, by and between VILLAGE OF NORTH PALM BEACH, a Florida municipal corporation, hereinafter called "VILLAGE," and J.E.D.L., INC., a Florida corporation, hereinafter called "LESSEE." WITNESSETH: WHEREAS, VILLAGE and LESSEE are desirous of amending the Lease Agreement by deleting Subsection F of Section 9, Lessor Oblioations, to delete the obligation of the Village to establish and implement a minimum restaurant charge of Ten Dollars ($10.00) per month for annual golf membership. NOW, THEREFORE, in consideration of the premises and of the mutual benefits, promises and agreements herein contained, it is agreed as follows: 1. Subsection F of Section 9, Lessor Obligations, of the lease which required the Village to establish and implement a minimum restaurant charge of Ten Dollars ($10.00) per month for annual golf membership is hereby deleted from the Lease Agreement. 2. All terms and provisions of the Lease Agreement and First Amendment to Lease Agreement between the parties that are not specifically in conflict with this Second • Amendment shall remain in full force and effect.
