• A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM BEACH,
FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK TO
ENTER INTO A COMMUNICATIONS SITE LEASE AGREEMENT (GROUND) WITH AT&T
WIRELESS SERVICES OF FLORIDA, INC., A FLORIDA CORPORATION, d/b/a AT&T
WIRELESS SERVICES ATTACHED AS EXHIBIT "A", WHICH AGREEMENT IS FOR THE
PURPOSE OF LEASING LAND AT THE NORTH PALM BEACH COMMUNITY CENTER FOR
INSTALLATION AND OPERATION OF A TELECOMMUNICATIONS FACILITY; AND,
YItOVIDING FOR AN EFFECTIVE DATE.
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA:
Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve
the communications site lease agreement (ground) with AT&T Wireless Services of Florida, Inc.,
a Florida corporation, d/b/a AT&T Wireless Services attached as Exhibit "A", which agreement is
for the purpose of leasing land at the North Palm Beach Community Center for installation and
operation of a telecommunications facility.
Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the
communications site lease agreement (ground) with AT&T Wireless Services of Florida, Inc., d/b/a
AT&T Wireless Services, set forth in Exhibit "A" for and on behalf of the Village of North Palm
Beach, Florida.
Section 3. This resolution shall take effect immediately upon its adoption.

lelttommuniulions facilisiea, including without IimitelioR an antenna pole ("Town') and foundation, utility lines,
Transmission lines, air conditioned equipment shelter(s), elegronle equipment, radio Irensmilling and reuiving
antennas, supporting equipment end stnlctures Thereto (collectively "I,esxe Fecllitici'). Luxe is entitled to install
nn the Tower up to three (I) anlennss and any oshtt aueaxrita appropriate to the succesiPol end secure operation of
Lessee Frsililim. Upon completion of Iht Tower, Lassa shell, el its sole tort and expenx, instill Lessor's existing
field lights ("Lessor's Equipment") to be loused on the Tower al (heir existing height level es shown on Eshibll 6.
Lessor shall be fully responsible end liable for the operation of Lessor i Equipment which will be performed by e
third pony selttled end managed by Lesxr. Luca shell have no Iisbiiisy of any nature to Lessor or any Third pony
for failure In repair or maintain Lesxr'a Equipment unleu caused by the actions of Leases or its agents. Lessor
shall give Lesxe prior telephone notice at (561) 411-6457 of the ummenumenl of repair and mainlenenu work
end Lessor and its agents shall take ell reasonable steps necesxry to avoid interference with Lesxe's
letttommunicalians operations. Lesxr shell be solely responsible For all electricity costs naocieted with Lesxr's
Equipment. Lessor represents and wsrtants that it owns and wnlrols (end has the right so have relocated) the
Lessor's Equipment. Notwith9anding Paragrsph 14 of Ihis Agamenl, l.easor may not assign or otherwise Innsftt
its right to locale (or use) any equipment on the Tower. In canneclion therewith Lesser hea the right to do all work
nttessary to prepare, maintain and alter the Premixs for Lessee's business opttalions and to install Irensmiasion
lints conneging the antennas to the uansmilten and reuiven. All of Lesxe's LonslNgion and insrallesion work
shell be performed es Lessor's sole toll and exptnx and in good and workmanlike manner, Title to the Lessor
Fscilisies shall be held by Lessee. All of Lesxe Facililiea shall remain Luau's personal property and arc not
fixtures. Lesser has the right to and shall remove all Lessor Facilities, exupl for the Tower, et its sole ezpenx on
or before the expiration or earlier lerminalion of the Agrament; provided, Lessee repairs any damsge to she
Premise eased by snch removal. Should Leases fail to remove Ltaset Facilities from she lend within ninety (90)
• days of termination or artier expiration of the Agreement, Lesxr may remove and store Lessor Facilities at

equipment is likely to cause interference wish Lessee's operations . Such interference shall be deemed a material

such interference, in a reasonable time period. In the event any such interference does not cease within Iht

otherwise transfer without notice or conxnt its interest in This Agrcement to any financing entity, or agent on behalf
of any financing entity to whom Lessee (i) has obligations for bortowed money or in reaped guaranties thereof, (ii)
has obligations evidenced by bonds, debentures, nrnes or similar instmments, or (iii) has obligations under ar with
respect In letters of credit, bankers acceptances and similar facilities or in respect of guaranties thereof.

permitted the use, generation, storage or disposal of, any Hazardous Material (defined below) on, under, about or
within the Land in violation of any law or regulation, and (2) that Lessor will not, and will not permit any Third pony

Beath, FI )Je08 (hereinaller refereed to as "LESSOR") and ATdcT WIRELESS SERVICES OF FLORIDA, INC., a
Florids wrporation, d/b/a ATkT WIRELESS SERVICES, with an olga at 11760 North U.S. Highway One, Weat
Towu, 7rd Floor, Nonh Palm Beach, FL )7<OB (hereinaBu referred to as "LESSEE").
I. Leswr end Lessor emued imo a certain Lease Agreement ("Agreement") on the ~ day of

("Commencement Dare') and terminating on she fifth anniversary of the eommencemenl Date (the
"Tenn") unless otherwise terminated as provided in Paragraph 10 of lease. LGSa shall the right to
ezrend the Term for Ihra ())successive five (6) yev periods (Ihe "Renewl Terms") on the same terms
and condition u ut forth httein. This agreement shag aubmatiully be extended for each wcceasive
Renewal Term unless Lessee notifies Lessor of Its intention not to renew prior to wmmenamtnt of the
succeeding Renewal Term.
1. The land which is the wbject of the Agramenl Is described in Ezhibit I anazed hutto. The portion of
the land being leased to Lessee(the "Premises') is described in Ezhibit Z anazed httelo.
4. The Lease shall be binding upon and inure to the benefit of Iht parties end their rgpeclive heirs,
slccessors, end assigns, wbjat to the provisions of the lease.
