A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM
BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE
CLERK TO ENTER INTO AN AGREEMENT WITH BRANCH ASSOCIATES, INC.
ATTACHED AS EXHIBIT "A", WHICH AGREEMENT IS FOR THE PURPOSE OF
SECURING PUBLIC TELEPHONE SERVICE AT THE COMMUNITY CENTER BALL
FIELDS WITHIN THE VILLAGE; AND, PROVIDING FOR AN EFFECTIVE DATE
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA:
Section 1. The Village Council of the Village of North Palm Beach, Florida, does
hereby approve the Agreement with Branch Associates, Inc., attached as Exhibit "A",
which Agreement is for the purpose of securing public telephone service at the
Community Center ball fields within the Village.
Section 2. The Mayor and Village Clerk are hereby authorized and directed to
execute the Agreement with Branch Associates, Inc. set forth in Exhibit "A" for and on
behalf of the Village of North Palm Beach.
• Section 3. This Resolution shall take effect immediately upon its adoption.

THIS AGREEMENT WILL AUTHORIZE BRANCH TO ACT AS A COMMUNICATIONS REPRESENTATIVE

IONS AT THE ABOVE ADDRESS.
IT IS AGREEDTHAT THE LOCAL EXCHANGE CARRIER SHALL BE RELIEVED OF ANY LIABILITY FOR
FOLLOWING THE INSTRUCTIONS OF BRANCH WITH RESPECT TO NEGOTIATIONS OFTHIS NEW
SERVICE. THIS AUTHORIZATION DOES NOT PRELUDE THE LOCATION OWNER TOACT ON TTS
OWN BEHALF WHEN DETERMINED NECESSARY.
THISCONTRACT WILLHAVE A TERM OF 1 ~ menthe AND A RENEWAL PERIOD OF

PROPERTY OF BRANCH. BRANCH WILL PERIODICALLY SERVICE AND MAINTAIN SAID PHONES,
WILL KEEP THEM IN A CLEAN BUSINESS LIKE CONDITION. THE LINE FORMAT (COIN) WILL BE
MUTUALLY AGREED UPON. BRANCH WILL MAINTAIN ALL LICENSES, PERMITS AND CARRIERS
NECESSARY TO OPERATE A PUBLIC PAYPHONE. BRANCH WILL PAY ALL COSTS OF
INSTALLATION, EQUIPMENT AND OPERATIONAL PHONE SERVICES. BRANCH MAY
REMOVE THE COINPHONE AT ANYTIME DURING THE TERM OF THIS AGREEMENT SHOULD R BE
DETERMINED THAT THESERVICE IS NOT PROFITABLE, USE IS DETRIMENTAL TO ACCEPTED
PRACTICE OR THE EQUIPMENT IS SUBJECT TO EXCESSIVE VANDALISM.
BRANCH WILL PAY THE LOCATION OWNER, AFTER MONTHLY BASE LINE COSTS AS FOLLOWS:
