A RESOLUTION OF THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA,
AUTHORIZING THB MAYOR AND VILLAGE CLERK TO EXECUTE ON BEHALF OF THS
VILLAGE AN INTERLOCAL AGREEMENT BETWEEN THS VILLAGE OF NORTH PALM
BEACH AND TH6 TOWN OF LAKB PARK CREATING THS TWIN CITY MALL TASK
FORCE FOR THS PURPOSE OF FACILITATING RENOVATION AND/OR
REDEVELOPMENT OF THE TWIN CITY MALL; PROVIDING FOR REPEAL OF ALL
RESOLUTIONS IN CONFLICT HEREWITH; AND, PROVIDING FOR AN EFFECTIVE
DATE HEREOF.
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH,
FLORIDA:
section 1. The Mayor and Village Clerk are hereby
authorized to execute, on behalf of the Village of North Palm
Beach, an interlocal Agreement between the Village of North Palm
Beach, Florida, and the Town of Lake Park, Florida, for the
purposes of facilitating renovation and/or redevelopment of Twin
City Mall, a copy of which is attached as Exhibit "A".

Section 2. All Resolutions or parts of Resolutions in
conflict herewith are hereby repealed.
section 3. This Resolution shall take effect immediately
upon passage.

EXHIBIT "A"
INTERLOCAL AGREEMENT
This Agreement shall be effective as of the 24th day of
October 1991, and is being entered into by and
between the VILLAGE OF NORTH PALM BEACH, 501 U.S. Highway One,
North Palm Beach, Florida 33408 (hereinafter "NORTH PALM") and the
TOWN OF LAKE PARK, 535 Park Avenue, Lake Park, Florida 33403
(hereinafter "LAKE PARK").
W I T N E S S E T H•
WHEREAS, the Twin City Mall and associated properties
(hereinafter "Mall"), located at the corner of Northlake Boulevard
and U.S. One, has, in recent years, suffered decline in business
activity; and
WHEREAS, this decline in business activity negatively impacts
upon taxable value, as well as aesthetic appearance of the
property; and
WHEREAS, portions of the Mall property are located in NORTH
PALM while other portions are located in LAKE PARK; and
WHEREAS, NORTH PALM and LAKE PARK are desirous of encouraging
improvement, enhancement and/or redevelopment of the Mall; and
WHEREAS, NORTH PALM and LAKE PARK have, through their
respective governing bodies, appointed a joint task force for the
purposes of facilitating renovation and/or redevelopment of the
Mall; and
WHEREAS, to develop such a plan will require legal assistance,
as well as consultants in such areas as land use planning and
engineering; and
WHEREAS, it is the desire of NORTH PALM and LAKE PARK to
accomplish these joint objectives in an expeditious manner pursuant
to the authority granted in Chapter 163, Park I, Florida Statutes,
"The Florida Interlocal Cooperation Act of 1969."
NOW, THEREFORE, in accordance with Chapter 163, Part I,
Florida Statutes, the undersigned parties, for and in consideration
of the mutual benefits set forth herein, do hereby enter into this
Interlocal Agreement and represent, covenant, and agree with each
other as follows:
SECTION ONE
REPRESENTATIONS
The facts, statements, and recitals, as set forth herein, are
true and correct and are incorporated herein by this reference.
SECTION TWO
APPOINTMENT OF TASK FORCE REPRESENTATIVES
The task force shall consist of six (6) total representatives
with NORTH PALM and LAKE PARK each appointing three (3) of the task
force representatives. Each municipality shall appoint one (1)
alternate representative who shall sit on behalf of the
municipality and have a vote when one (1) of the regular task force
representatives of such municipality is absent.
SECTION THREE
QUORUM AND VOTING OF THE TASK FORCE REPRESENTATIVES
The presence of two (2) or more task force representatives
from each municipality shall constitute a quorum. Voting shall
require a minimum of four (4) affirmative votes.

SECTION FOUR
AUTHORITY OF TASK FORCE REPRESENTATIVES
NORTH PALM and LAKE PARK each authorize their respective
representatives to participate in the task force and to take such
actions necessary to develop a recommended plan for consideration
by the governing bodies of NORTH PALM and LAKE PARK. Any
recommended plan must be approved by Resolution or Ordinance by the
Council of each municipality. To this end, task force
representatives are authorized to meet as necessary and to retain
such professional assistance as they deem necessary to assist them
in their task. In each instance where it becomes necessary to
retain professional assistance, the task force shall assign
responsibility for procuring such assistance to one governmental
unit which shall do so in accordance with its established
purchasing polices and applicable Florida law. Costs for such
services shall be borne equally the parties to this Agreement.
Each party authorizes its representatives to commit an
aggregate amount of up to Five Thousand and No/100 Dollars
($5,000.00) toward the costs of such professional services.
SECTION FIVE
MISCELLANEOUS PROVISIONS
Binding Effect. All of the terms and provisions of this
Agreement, whether so expressed or not, shall be binding upon,
inure to the benefit of, and be enforceable by the parties and
their respective legal representatives, successors and permitted
assigns.

Severability. If any part of this Agreement is contrary to,
prohibited by, or deemed invalid under applicable law or
regulation, such provision shall be inapplicable and deemed omitted
to the extent so contrary, prohibited or invalid, but the remainder
hereof shall not be invalidated thereby and shall be given full
force and effect so far as possible.
Counterparts. This Agreement may be executed in one or more
counterparts, each of which shall be deemed an original, but all of
which together shall constitute one and the same instrument.
Effective Date. This Interlocal Agreement shall become
effective upon a Resolution being enacted by each municipality
authorizing the Mayor and Clerk to execute this Agreement.
IN WITNESS WHEREOF, the parties have set their hands and seals
the day and year hereinafter written.
