' A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH
PALM BEACH, FLORIDA APPROVING A THIRD AMENDMENT TO AN
AGREEMENT WITH NZ CONSULTANTS, INC. FOR CURRENT AND LONG-
RANGE PLANNING AND ZONING SERVICES PURSUANT TO PRICING
ESTABLISHED IN AN EXISTING CONTRACT FOR SERVICES WITH THE
CITY OF LAKE WORTH AND AUTHORIZING THE MAYOR AND VILLAGE
CLERK TO EXECUTE THE THIRD AMENDMENT ON BEHALF OF THE
VILLAGE; PROVIDING FOR CONFLICTS; AND PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, on October 1, 2018, the Village Manager executed an Agreement for Current and Long -
Range Planning, and Zoning Services with NZ Consultants, Inc. on an interim basis in accordance
with the terms, conditions and pricing established in an existing competitively bid contract between
NZ Consultants, Inc. and the City of Lake Worth; and
WHEREAS, through the adoption of Resolution No. 2018-99 on November 8, 2018, the Village
Council approved an Amendment to the Agreement to increase the maximum amount of
compensation from $10,000 to $50,000; and
WHEREAS, through the adoption of Resolution No. 2019-19 on February 28, 2019, the Village
Council approved a Second Amendment to the Agreement to increase the maximum amount of
compensation from $50,000 to $80,000; and
WHEREAS, due to vacant positions within the Community Development Department, Village Staff
is in need of additional planning and zoning services through the end of the fiscal year and is
recommending the execution of a Third Amendment to the Agreement to increase the amount of
compensation to $110,000 and retroactively extend the Agreement through the end of the current
fiscal year; and
WHEREAS, the Village Council determines that the approval of the Third Amendment to the Agreement
is in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves a Third Amendment to the Agreement for
Services with NZ Consultants, Inc. for Current and Long -Range Planning and Zoning Services, a
copy of which is attached hereto and incorporated herein, and authorizes the Mayor and Village Clerk
to execute the Third Amendment on behalf of the Village. The total compensation paid pursuant to
the Amendment shall not exceed $110,000, with funds expended from Account No. A5206-33190
(Planning — Professional Services).
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.

Section 4. This Resolution shall be effective immediately upon adoption.

THIRD AMENDMENT TO AGREEMENT FOR SERVICES
THIS THIRD AMENDMENT is made and entered into this O --day o r -h
2020, by and between the VILLAGE OF NORTH PALM BEACH, a Florida iUunicipal
corporation ("VILLAGE") and NZ CONSULTANTS, INC., 1851 West Indiantown Rd, Suite 100,
Jupiter, Florida 33458 (CONTRACTOR"), whose Federal I.D. No. is 27-0681325.
WITNESSETH:
WHEREAS, the VILLAGE and CONTRACTOR entered into an Agreement for Services
dated October 1, 2018 ("Agreement") whereby CONTRACTOR agreed to provide Current and
Long -Range Planning and Zoning Services in accordance with (or by "piggybacking") the terms,
conditions and pricing established by an existing competitively bid Contract for Services between
CONTRACTOR and the City of Lake Worth; and
WHEREAS, on November 8, 2018, the parties executed an Amendment to the Agreement
to increase the maximum amount of compensation from $10,000 to $50,000; and
WHEREAS, on February 28, 2019, the parties executed a Second Amendment to the
Agreement to increase the maximum compensation from $50,000 to $80,000; and
WHEREAS, the VILLAGE is need of additional planning and zoning services, and the
parties have agreed to increase the maximum amount of compensation to $110,000; and
WHEREAS, CONTRACTOR has agreed to provide these additional services at the terms,
conditions and pricing previously established.
NOW, THEREFORE, in consideration of the mutual representations and obligations set
forth herein and in the Agreement, as amended, and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Section 5 of the Agreement, as amended, is hereby amended to increase the total
compensation paid by VILLAGE to CONTRACTOR from not to exceed $80,000
to not to exceed $110,000.
2. Section 9 of the Agreement is hereby amended to extend the term of the Agreement
through September 30, 2020, retroactive to October 1, 2019.
3. All other provisions of the Agreement, to the extent not expressly modified herein,
shall remain in full force and effect.
