A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING A SECOND AMENDMENT
TO AN AGREEMENT WITH M.T. CAUSLEY, LLC FOR BUILDING OFFICIAL,
PLAN REVIEW AND INSPECTION SERVICES FOR FISCAL YEAR 2018
PURSUANT TO PRICING ESTABLISHED IN AN EXISTING AGREEMENT
BETWEEN M.T. CAUSLEY AND THE CITY OF FORT LAUDERDALE
AND AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE
THE AMENDMENT ON BEHALF OF THE VILLAGE; PROVIDING FOR
CONFLICTS; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on April 6, 2018, the Village Manager executed an Agreement for Building Official,
Plan Review and Inspection Services with M.T. Causley, Inc. on a periodic basis in accordance with
(or by "piggybacking") the terms, conditions and pricing established in an existing competitively bid
contract between M.T. Causley and the City of Fort Lauderdale dated May 16, 2017; and
WHEREAS, in accordance with the Village's Purchasing Policies and Procedures, the amount of
compensation was capped at $10,000 because all agreements in excess of $10,000 require
Village Council approval; and
WHEREAS, through the adoption of Resolution No. 2018-48 on April 26, 2018, the Village Council
approved an Amendment to the Agreement to increase the amount of compensation to $50,000; and
WHEREAS, due to the limited availability of another contract provider, Village Staff is requesting
approval of a Second Amendment to the Agreement to increase the amount of compensation to
$59,400 to cover the actual amount of services performed during Fiscal Year 2018; and
WHEREAS, the Village Council determines that the approval of the Second Amendment to the
Agreement is in the best interests of the residents and citizens of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves a Second Amendment to the Agreement
for Building Official, Plan Review and Inspection Services, a copy of which is attached hereto
and incorporated herein, and authorizes the Mayor and Village Clerk to execute the
Amendment on behalf of the Village. The total compensation paid pursuant to the Amendment
shall not exceed $59,400, with funds expended from Account No. A6019-33190 (Community
Development/Building Division — Professional Services).
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.
Section 4. This Resolution shall be effective retroactive to September 30, 2018.

SECOND AMENDMENT TO AGREEMENT FOR BUILDING OFFICIAL, PLAN
REVIEW AND INSPECTION SERVICES
THIS AMENDMENT is made and entered into as of this 30"' day of September, 2018,
by and between the VILLAGE OF NORTH PALM BEACH, a Florida municipal corporation
("VILLAGE") and M.T. CAUSLEY, LLC, a Florida limited liability company
("CONTRACTOR"), whose Federal I.D. No. is 65-0782808.
WITNESSETH;
WHEREAS, the VILLAGE and CONTRACTOR entered into an Agreement for
Building Official, Plan Review and Inspection. Services dated April b, 2018 ("Agreement")
whereby CONTRACTOR agreed to provide periodic building official, plan review and
inspection services in accordance with (or by "piggybacking") the terms, conditions and pricing
established by an existing competitively bid. Contract for Services between CONTRACTOR and
the City of Fort. Lauderdale; and
WHEREAS, on April 26, 2018, the Village Council approved an Amendment to the
Agreement to increase the maximum amount of compensation to $50,000; and
WHEREAS, the service performed by CONTRACTOR during Fiscal Year 2018
exceeded the maximum amount of compensation and the parties wish to amend the Agreement to
cover all services performed.
NOW, THEREFORE, in consideration of the mutual representations and obligations set
forth herein and in the Agreement, as amended, and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
Section 5 of the Agreement is hereby amended to increase the total compensation
paid by VILLAGE to CONTRACTOR from not to exceed $50,000 to not to
exceed $59,400.
2. All other provisions of the Agreement, to the extent not expressly modified
herein, shall remain in full force and effect.
