A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING A SECOND AMENDMENT
TO AN AGREEMENT WITH M.T. CAUSLEY, INC. TO PROVIDE
BUILDING INSPECTION SERVICES; AUTHORIZING THE VILLAGE
MANAGER TO EXECUTE THE SECOND AMENDMENT; AND
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on October 20, 2014, the Village entered into an Agreement with M.T. Causley, Inc.
( "Causley ") whereby Causley agreed to provide inspection services to the Village's Building
Department on an interim basis pursuant to terms, conditions and pricing established in an
existing agreement with the Village of Wellington; and
WHEREAS, through the adoption of Resolution 2015 -60 on September 24, 2015, the Village
Council approved an Amendment to the Agreement to extend the term of the Agreement through
the end of Fiscal Year 2016 and increase the maximum compensation to Causley by an
additional $5,000 for Fiscal Year 2015 and an additional $15,000 for Fiscal Year 2016; and
WHEREAS, the Village wishes to increase the maximum amount of compensation for
Fiscal Year 2016 by an additional $30,000 (for a total amount of $45,000); and
WHEREAS, the Village's Purchasing Policy requires that all contracts and agreements that span
multiple years and exceed $10,000 be approved by the Village Council; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the Village.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves a Second Amendment to the existing
Agreement for Building Inspection Services dated October 20, 2014 with M.T. Causley, Inc., a
copy of which is attached hereto and incorporated herein, and authorizes the Village Manager to
execute the Second Amendment on behalf of the Village.
Section 3. The total amount of compensation paid pursuant to the Agreement, as amended, for
Fiscal Year 2016 shall not exceed $45,000, with funds expended from Account No. A6019 -33190
(Building — Professional Services).
Section 4. This Resolution shall take effect immediately upon its adoption.

SECOND AMENDMENT TO
AGREEMENT FOR BUILDING INSPECTION SERVICES
This Amendment is made as of the 'day of , 2016, by and between the
VILLAGE OF NORTH PALM BEAH, 1 U.S. Highway One, North Palm Beach, Florida,
33408, a Florida municipal corporation ( "VILLAGE "), and M.T. CAUSLEY, INC., 97 N.E. 15'
Street, Homestead, Florida 33030, a Florida corporation ( "CONTRACTOR "), whose Federal
I.D. No. is 650782808.
RECITALS
WHEREAS, on October 20, 2014, the VILLAGE and CONTRACTOR entered into an
Agreement ( "Agreement ") whereby CONTRACTOR would provide inspection services to the
VILLAGE's Building Department on an interim basis in accordance with the terms, conditions
and pricing established in an existing Inspection Services Agreement between CONTRACTOR
and the Village of Wellington; and
WHEREAS, on September 24, 2015, the VILLAGE and CONTRACTOR entered into First
Amendment ( "First Amendment ") to the Agreement to extend the term through September 30,
2016 and increase the total amount of compensation; and
WHEREAS, the parties wish to amend the Agreement to again increase the maximum amount of
compensation to be paid by the VILLAGE to CONTRACTOR pursuant to the terms of the
Agreement.
NOW THEREFORE, in consideration of the mutual promises set forth in the Agreement, the
receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as
follows:
1. The parties agree that the recitals set forth above are true and correct and are fully
incorporated herein by reference.
2. Section 5 of the Agreement is hereby amended to provide that the maximum amount to
be paid by the VILLAGE to CONTRACTOR shall not exceed $45,000 for Fiscal Year 2016
(October 1, 2015 through September 30, 2016).
4. The persons executing this Agreement represent that they have the full power, authority
and legal right to execute and deliver this Agreement and perform all of its obligations under this
Agreement.
5. All other provisions of the Agreement and First Amendment, to the extent not
expressly modified herein, shall remain in full force and effect. In the event of a conflict
between the terms of the Agreement and this Second Amendment, the terms of this Second
Amendment shall control.
