A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, APPROVING A THIRD AMENDMENT TO THE
COMMUNICATIONS SITE LEASE AGREEMENT WITH VERIZON WIRELESS
PERSONAL COMMUNICATIONS, L.P. AND AUTHORIZING THE MAYOR
AND VILLAGE CLERK TO EXECUTE SAME; PROVIDING FOR CONFLICTS;
AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, through the adoption of Resolution 82 -2001, the Village approved and executed a
Communications Site Lease Agreement (Ground) with Primeco Personal Communications Limited
Partnership n/k/a Verizon Wireless Personal Communications LP d/b /a Verizon Wireless ( "Verizon ")
for the erection of a telecommunications tower and the installation of related equipment adjacent to
the Village Community Center; and
WHERAS, through the adoption of Resolution 2013 -57, the Village approved and executed a
First Amendment to the Lease Agreement to add an area to the leased premises for the installation
of a diesel generator and fuel tank, together with a utility easement across the parking lot in exchange
for an increase in the monthly rent; and
WHEREAS, through the adoption of Resolution 2014 -84, the Village approved and executed a
Second Amendment to the Lease Agreement to add additional ground space to install HVAC
condenser units and an easement necessary to connect such units to the existing ground space in
exchange for an increase in the monthly rent; and
WHEREAS, the Village received a request from Verizon to again amend the Lease Agreement to
remove three existing antennas, relocate three of the remaining antennas and add seven new
antennas, coaxial lines and hybrid lines for a total configuration of ten antennas in exchange for a
$250.00 increase in monthly rent; and
WHEREAS, the Village Council determines that the adoption of this Resolution is in the best
interests of the residents and citizen of the Village of North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves the Third Amendment to the Communications
Site Lease Agreement (Ground) with Verizon Wireless Personal Communications LP d/b /a Verizon
Wireless, a copy of which is attached hereto and incorporated herein, and authorizes the Mayor and
Village Clerk to execute the Third Amendment on behalf of the Village.
Section 3. All resolutions or parts of resolutions in conflict with this Resolution are hereby
repealed to the extent of such conflict.

THIRD AMENDMENT TO COMMUNICATIONS
SITE LEASE AGREEMENT (GROUND)
This Third Amendment to Communications Site Lease Agreement (Ground) (this "Third
Amendment ") is made this 1$Pday of ' j— , 20G (the "Effective Date "), by and
between the VILLAGE OF NORTH PALM B ACH, a Florida municipal corporation
( "Lessor "), and VERIZON WIRELESS PERSONAL COMMUNICATIONS LP, a Delaware
limited partnership d /b /a Verizon Wireless ( "Lessee ").
WHEREAS, Lessor and Lessee (f /k/a PrimeCo Personal Communications Limited
Partnership d /b /a Verizon Wireless) entered into that certain Communications Site Lease
Agreement (Ground) dated November 13, 2001, as amended by that certain First Amendment to
Communications Site Lease Agreement (Ground) dated December 19, 2013, as further amended
by that certain Second Amendment to Communications Site Lease Agreement (Ground) dated
January 27, 2015 (collectively, the "Lease "), pursuant to which Lessor leases to Lessee certain
premises as more particularly described in the Lease (the "Premises "); and
WHEREAS, Lessor and Lessee desire to amend the Lease as provided herein.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged, the parties hereto agree to be legally bound to this Third
Amendment as follows:
1. Capitalized terms not defined in this Third Amendment shall have the same meaning as
such terms have in the Lease.
2. Notwithstanding anything in the Lease to the contrary, Lessor agrees that Lessee shall be
permitted to: (a) remove six (6) existing antennae and replace them with seven (7) new
antennae and add two (2) new coaxial lines and two (2) new hybrid lines, for a total
configuration of ten (10) antennae, twenty (20) coaxial lines and two (2) hybrid lines; (b)
make such other equipment modifications as are set forth on Exhibit "13-3" attached
hereto and incorporated herein by this reference; and (c) install such wires, cables,
conduits and pipes as necessary to connect the aforementioned equipment to the Lessee's
existing installations (all of the foregoing are collectively, the "New Equipment "). The
definition of "Lessee Facilities" in the Lease is hereby amended to include the New
Equipment.
Exhibits 'B ", `B -1" and "B -2" to the Lease Agreement are hereby supplemented by
Exhibit "B -3" attached to this Third Amendment. From and after the Effective Date, any
references to Exhibits "B" to the Lease shall be deemed to refer collectively to Exhibits
"B ", `B -1" and `B -2" to the Lease Agreement and Exhibit "13-3" attached to this Third
Amendment.

4. The monthly rent due under the Lease shall be increased by Two Hundred Fifty and
XX /100 Dollars ($250.00) (the "Rent Increase ") and shall continue to increase in
accordance with Section 5(b) of the Lease. The Rent Increase shall be based upon the
date Lessee is granted a building permit by the governmental agency charged with issuing
such permits, or the date of execution of this Third Amendment by the parties, whichever is
later. In the event the date at which Lessee is granted a building permit or the date of
execution of the Third Amendment, whichever is applicable, falls between the 1St and 15th
of the month, the Rent Increase shall commence on the 1St of that month and if such date
falls between the 16th and 31St of the month, then the Rent Increase shall commence on
the 1St day of the following month (either, the "Rent Increase Commencement Date ").
Lessor and Lessee acknowledge and agree that increased rental payment(s) may not
actually be sent by Lessee until thirty (30) days after the Rent Increase Commencement
Date.
5. This Third Amendment shall be effective upon execution by both parties.
6. The parties hereby reaffirm their rights and obligations under the Lease as modified by
this Third Amendment. In the event of any inconsistencies between the Lease and this
Third Amendment, the terms of this Third Amendment shall control. The Lease and this
Third Amendment contain all agreements, promises or understandings between Lessor
and Lessee and no verbal or oral agreements, promises or understandings shall be binding
upon either Lessor or Lessee in any dispute, controversy, or proceeding at law, and any
addition, variation or modification to the Lease, as amended, shall be void and ineffective
unless made in writing and signed by the parties. In the event any provision of the Lease
or this Third Amendment is found to be invalid or unenforceable, such a finding shall not
affect the validity and enforceability of the remaining provisions of the Lease or this
Third Amendment.

SERVICE TO BUILDING AND /OR EQUIPMENT UNLESS OTHERWISE AGREED TO 48 —HOURS IN
ADVANCE WITH THE WIRELESS CARRIERS CONSTRUCTION MANAGER.
5. THE LOCATION OF EQUIPMENT, CONDUIT AND DEVICES SHOWN ON THE PLANS ARE
DIAGRAMMATIC. EXACT LOCATION AND ROUTING SHALL BE DETERMINED BY THE
CONTRACTOR IN THE FIELD PRIOR TO INSTALLATION WITH THE APPROVAL OF THE
WIRELESS CARRIERS CONSTRUCTION MANAGER OR OTHERWISE BE REROUTED AT THE

8. PROVIDE CORE DRIVING AS NECESSARY FOR PENETRATIONS OR RISERS THROUGH
BUILDINGS DO NOT PENETRATE STRUCTURAL MEMBERS WITHOUT CONSTRUCTION MANAGERS
APPROVAL SLEEVES AND /OR PENETRATIONS IN FIRE RATED CONSTRUCTION SHALL BE
PACKED WITH FIRE RATED MATERIAL WHICH SHALL MAINTAIN THE FIRE RATING OF THE
WALL OR STRUCTURE FILL FOR FLOOR PENETRATIONS SHALL PREVENT PASSAGE OF
WATER, SMOKE, FIRE AND FUMES. ALL MATERIAL SHALL BE UL APPROVED FOR THS
