In December 2007, the owner of the property located at 9249 Alternate AlA (aka Live Oak
Plaza) made application to voluntarily annex into the Village ofNorth Palm Beach as described
in (Exhibit 'iI'). The property is located in our Village's Future Annexation Plan and would
require asmall-scale comprehensive plan amendment and rezoning.
The property is located at the southwest corner of Richard Road and Alternate Al A. East of the
property is the FEC Railroad; south of the property is the new Mercedes Dealership; and north of
the property is Kwik Shop and Killer Tomato outdoor produce stand. The 2.62-acre site has an
existing commercial shopping center of approximately 27,250 squaze feet with multiple tenants,
restaurants and abar/tavern. The property was built in 1974 in accordance with the Palm Beach
County guidelines.
The property owner has volunteered to file a deed restriction not allowing any "Adult
Entertainment Establishments" aspermitted in Section 45-34 of the Village Code of Ordinances.

Former Public Safety Duector, Chief Steve Canfield expressed his concerns regarding the
potential impacts in maintaining the Village's Public Safety level of service by annexing Live
Oak Plaza. These concerns are based on number of police and fire rescue calls generated by
Foster's Pub, one of the (13) thirteen tenants of the shopping center. Currently Foster's Pub is
open until 5:00 A.M. (Hours of operation would be outside the current Village Code of
Ordinances)
On June 3, 2008 the Planning Commission held a Public Hearing on this annexation. The
Planning Commission voted unanimously to approve the application as submitted based on the
following recommendations; that Village Council negotiate the hours of operation for Foster's
Pub with the property owner and that all business owners come into compliance within one year
for all existing signage.
At the June 26, 2008 Council Workshop Meeting, the Public Safety Department expressed
concerns regazding the number of police and fire rescue calls generated by the property. The
staff also expressed concerns the yeazly revenue of $20,279.00 would not be economically
feasible at this time; however it is believed that if this property were to be brought into
compliance with the current and prevailing Village Code of Ordinances it could be mutually
advantageous and should be embraced. The Council consensus was to move this item forwazd to
Regular Session agenda, pending preparation of the annexation ordinance, which is to include
stipulations regarding landscaping.
The Village Attorney with the assistance of Gary Brandenburg (applicant's owner agent) has
voluntarily agreed to certain limitations on the use of the Property and to the imposition of
conditions relating to annexation as outlined in the annexation ordinance.
The attached ordinance has been reviewed / prepazed by your Village Attorney for legal
sufficiency.
Recommendation:
The Administration requests Council consideration and approval of the ls` reading
of the ordinance for Voluntary Annexation for 9249 Alternate AlA (Live Oak
Plaza) in accordance with Village Policies.

AN ORDINANCE OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA, ANNEXING APPROXIMATELY 2.62
ACRES OF REAL PROPERTY KNOWN AS LIVE OAK PLAZA LOCATED
ON THE WEST SIDE OF ALTERNATE AlA SOUTH OF RICHARD ROAD
AS MORE PARTICULARLY DESCRIBED HEREIN; DECLARING THAT
THE VOUNTARY ANNEXATION OF THIS PROPERTY MEETS ALL
LEGAL CRITERIA; PROVIDING FOR CONDITIONS OF ANNEXATION;
DIRECTING VILLAGE ADMINISTRATION TO DO ALL THINGS
NECESSARY TO EFFECTUATE SAID ANNEXATION; PROVIDING FOR
CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING FOR
AN EFFECTIVE DATE.
WHEREAS, the Village Council for the Village of North Palm Beach has received a
request from Live Oak Plaza LLC ("Property Owner"), the owner of the real property more
particulazly described in Exhibit "A" ("Property"), requesting that the Property be annexed into
the Village; and
WHEREAS, the Village Council determines that the annexation meets the criteria for
voluntary annexation set forth in Section 171.044, Florida Statutes, in that the Property is
currently located within unincorporated Palm Beach County, is contiguous to the Village, is
reasonably compact, and the annexation of the Property will not result in the creation of
enclaves; and
WHEREAS, the annexation is consistent with the Village's Comprehensive Plan and is
located within the Village's Future Annexation Area; and
WHEREAS, the Property Owner has voluntazily agreed to certain limitations on the use
of the Property and to the imposition of conditions relating to such annexation; and
WHEREAS, the Village Council has determined that the annexation of the Property into
the Village is in the best interests of the public health, safety and welfare.
NOW, THEREFORE, BE IT ORDAINED BY THE VILLAGE COUNCIL OF THE VILLAGE
OF NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing "whereas" clauses are hereby ratified as true and correct and aze
incorporated herein.
Section 2. The Village Council hereby approves the Property Owner's request for voluntary
annexation and in accordance with Section 171.044, Florida Statutes, hereby annexes into the
Village the 2.62 acres of real property known as "Live Oak Plaza" and more particulazly
described in Exhibit "A" attached hereto and incorporated herein by reference.
Section 3. The annexation ofthe Property is subject to the conditions set forth in this section. A
violation of any such condition shall be considered a violation of the Village Code and may be
enforced in the same manner as other Village Codes, including, but not limited to, the initiation of
code enforcement proceedings in accordance with Section 2, Article VI (Code Enforcement Board).
A. Unless otherwise set forth herein, in accordance with Section 171.062(1), Florida
Statutes, the Pmperty shall, immediately upon annexation, be subject to all laws,
ordinances and regulations in force within the Village, including, but not limited to, the
provisions of Chapter 3, "Alcoholic Beverages," and Chapter 17, "Taxation," of the
Village Code.
B. Within five (5) days of the effective date ofthis Ordinance, the Property Owner
shall record in the public records of Palm Beach County, Florida, the Declazation of
Restrictive Covenant as set forth in Exhibit "B" attached hereto and incorporated herein.
C. Within ninety (90) days of the effective date of this Ordinance, the Property
Owner shall remove the non-conforming pole signs, with the exception of the existing
plaza/tenant identification sign. Within one hundred and eighty (180) days of the
effective date of this Ordinance, the Property Owner shall submit a Master Signage Plan
for the Property for review and consideration by the Village. Within one (1) year of the
effective date of this Ordinance, the Property Owner shall bring the Property into
compliance with all requirements of Article V (Signs and Outdoor Displays) of Chapter 6
of the Village Code and conform to the approved Master Signage Plan.
D. Within one hundred and eighty (180) days ofthe effective date ofthis Ordinance,
the Property Owner shall seek and obtain all necessary permits and approvals and ensure
that all dumpsters located on the Property are properly screened as required by Section
27-41 ofthe Village Code.
E. Within one hundred and eight (180) days of the effective date ofthis Ordinance,
the Property Owner shall install the landscaping within the Alternate AlA median and
along the Alternate AlA frontage from the south property line to Richard Road in
accordance with the Landscape Planting Plan for Oak Plaza/Alternate AlA prepared by
Howazd Ostrout Jr., and Associates dated July 8, 2008 and consisting of two pages
("Landscape Plan"), which is incorporated herein by reference. In connection with the
implementation of the Landscape Plan, the Property Owner shall install irrigation lines
within the median. The landscaping adjacent to the parking lot on the east side of
Alternate AIA shall be installed prior to the issuance of a Certificate of Completion for
the pazking lot.
F. Within thirty (30) days ofthe effective date ofthis Ordinance, the Property Owner
shall replace all dead and missing landscape hedge material along Altemate AlA and
Richard Road, unless otherwise shown in the Landscape Plan.
G. All new businesses located on the Property shall conform to all applicable
requirements of the Village Zoning Code as set forth in Chapter 45. To the extent not
addressed herein, all existing conditions not in wmpliance with Appendix C (Chapter 45),
"Zoning," of the Village Code shall be treated as nonconformities and shall be subject to
the provisions of Article VII (Nonconforming Uses of Lands and Structures).
Section 4. The Village Council hereby directs Village Administration to: (1) file a copy of
this Ordinance with the Clerk of the Circuit Court, the Chief Administrative Officer of Palm
Beach County, and the Secretary of State; (2) amend the legal description set forth in the Village
Charter and all official Village maps to include the Pmperty; and (3) take all other actions
necessary to effectuate the annexation of the Property into the Village.
Section 5. All ordinances or parts ofordinances ofthe Village ofNorth Palm Beach, Florida,
which are in conflict with this Ordinance, are hereby repealed to the extent of such conflict.
Section 6. If any section, paragraph, sentence, clause, phrase, or word of this Ordinance is
for any reason held by a court of competent jurisdiction to be unconstitutional, inoperative or
void, such holding shall not affect the remainder ofthe Ordinance.
Section 7. This Ordinance shall be effective immediately upon adoption.

DECLARATION OF RESTRICTIVE COVENANT
This Declaration of Restrictive Covenant is made this day of
2008, by Live Oak Plaza, LLC, a Florida limited liability corporation, with a mailing

WITNESSETH
WHEREAS, Grantor is the owner of certain lands situated in the unincorporated
portion of Palm Beach County, Florida, which is more particularly described in Exhibit
"A" (the "Property"), attached hereto and incorporated herein and is depicted in the map
attached hereto as Exhibit "B"; and
WHEREAS, the Property is co-terminus with municipal boundaries of the
Village of North Palm Beach; and
WHEREAS, in connection with Grantor's request for voluntary annexation,
Grantor has voluntarily agreed to impose restrictions on the use of the Property as set
forth herein.
KNOW ALL MEN BY THESE PRESENTS that for and in consideration often
dollars ($10.00) and other good and valuable consideration, receipt of which is hereby
acknowledged, Grantor does hereby impose the following restrictions upon the Property
in favor of Grantee, which restrictions shall constitute a covenant running with the land
and shall be binding upon all successors in interest, heirs, assigns, and grantees until
released pursuant to paragraph 2 hereof.
1. Use Restriction. The property shall not be used for adult entertainment, as
defined by the Village of North Palm Beach, Florida, Zoning Code Section
45-2, Definitions.
2. Release of Restrictions. The restrictions imposed hereby may be released at
the sole and absolute discretion of the Grantee upon the recording of a notice
of the Village Council of the Village of North Palm Beach, Florida, that an
agenda item advertised pursuant to law releasing this restriction was approved
by at least four members of the Village Council of the Village of North Palm
Beach, Florida.
3. Enforceability. These restrictions shall be enforceable only by the Village
Council of North Palm Beach, Florida. The Village has no adequate remedy
at law and would be irreparably injured if these restrictions are violated.
Grantor acknowledges that enforcement of these restrictions is in the public
interest. Enforcement shall be by suit for specific performance or injunctive
relief in the Circuit Court of Palm Beach County, Florida, and is not intended
to benefit or confer any rights upon or be enforceable by any other party
whatsoever.

4. Recorded in the Public Records. These restrictions shall be recorded in the
public records of Palm Beach County.
TO HAVE AND TO HOLD until Grantee forever. The terms, conditions,
restrictions and purpose imposed with this covenant shall be binding upon Grantor,
and shall continue as a servitude running in perpetuity with the Property.
Grantor hereby covenants with said Grantee that Grantor is lawfully seized of said
property in fee simple; that the Property is free and clear of all encumbrances that are
inconsistent with the terms of this covenant and all mortgages have been joined or
subordinated; that Grantor has good right and lawful authority to execute this
covenant and that it hereby fully warrants and defends the title to the covenant hereby
conveyed against the lawful claims of all persons whomsoever.

Mayor Manuel called the meeting to order at 8:00 p.m. All members of Council were present,
except Vice Mayor Norris, who was out oftown. All members of staffwere present.
VOLUNTARY ANNEXATION - 9249 ALTERNATE AlA (LIVE OAK PLAZAI
Discussion took place concerning an application from the owner of property located at
9249 Alternate AlA for voluntary annexation into the Village ofNorth Palm Beach.
Mr. Knight advised that the property is located in the Village's future annexation area and would
require asmall-scale comprehensive plan amendment and rezoning.
Mr. Knight noted the Public Safety Department is concerned about the number of police and fire
rescue calls generated by the property.
Mr. Knight reported that total yeazly revenue to the Village from this property would be $20,279
including ad valorem and business tax receipts.
Vice Mayor Norris disclosed that he represents the owners of Foster's Pub, a tenant in Live Oak Plaza.
Attorney Gary Brandenburg, representing the property owner, discussed the annexation
application. Mr. Brandenburg noted that annexation gives North Palm Beach control in this azea,
which will be an entryway into North Palm Beach when Congress Avenue is extended.
Mr. Brandenburg advised that the property owner could apply to Palm Beach County for zoning
changes. Mr. Brandenburg briefly discussed future annexation areas.
Mr. Brandenburg reported that a zoning variance was granted by the North Palm Beach Zoning
Board of Adjustment for property on the east side of Alternate Al A, which will be used for
employee pazking. Mr. Brandenburg expressed the intent of the property owners to landscape
this pazcel and their willingness to add additional landscaping to the Alternate AIA medians
from Richard Road to Northlake Boulevard.

Mrs. Foster addressed the Council concerning Foster's Pub. Mrs. Foster stated that Foster's Pub
is a neighborhood bar that is open from 7:00 a.m. to 5:00 a.m. Regarding the number of police
and fue rescue calls, Mrs. Foster compared her incidences book to Palm Beach County Sheriff's
Office records, and disputed the number and type of calls.
Public Safety Director Steve Canfield reported that, based on Sheriff's ofnce records, there were
220 calls to 9339 Alternate Al A (Foster's Pub) from 2006 - 2007. Chief Canfield advised that
after analyzing call data, it was felt that 167 of the calls could be related to Foster's Pub. Chief
Canfield noted that many of the calls would require response by more than one officer.
Council consensus was to move this item forwazd to an upcoming Regulaz Session agenda, pending
preparation of the annexation ordinance, which is to include stipulations regarding landscaping.

regarding the annexation of Live Oak Plaza.
1. The owner will agree to execute the Declazation of Restrictive Covenants
you have previously approved, which is attached as Exhibit "A".
2. The owner commits to completing the median landscaping to Richard
Road, including landscaping in front of the Live Oak Plaza, as depicted on Exhibit "B".
The landscaping of the Richazd Road employee lot will occur when the lot is constructed.
3. Any new businesses must comply with "Uses Permitted" under Section
45-34 of the Village Code.
4. Pole signs, wall signage and window signage will be made consistent with
the Village Code within one year. The owner will prepaze and present a Master Signage
Plan within one yeaz.
5. The property must comply with the requirements of Chapter 3 (Alcoholic
Beverages) upon annexation, unless the Village Council allows extended hours at the
request of the owners of Foster's Pub.

DESCRIBED HEREIN; DECLARING THAT THE VOLUNTARY ANNEXATION OF
THIS PROPERTY MEETS ALL LEGAL CRITERIA; PROVIDING FOR
CONDITIONS OF ANNEXATION; DIRECTING VILLAGE ADMINISTRATION TO
DO ALL THINGS NECESSARY TO EFFECTUATE SAID ANNEXATION;
PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND
PROVIDING FOR AN EFFECTIVE DATE.
The Village Council shall conduct the public hearing on September 11, 2008 at
7:30 p.m., or as soon thereafter as this matter can be heard, at the Village Hall,
501 U.S. Highway One, North Palm Beach, Florida. All members of the public
are invited to appear at the hearing, which may be continued from time to time,
and be heard with respect to this matter. Copies of the Ordinance and the
complete legal description by metes and bounds are on file at the Village Clerk's
Office for inspection by members of the public. The following area is covered by
the proposed ordinances:

If a person decides to appeal any decision made with respect to any matter
considered at the subject meeting, he or she will need to ensure that a verbatim
record of the proceedings is made, which record shall include the testimony and
evidence upon the appeal is to be based (F.S. 286.0105). In accordance with
the American with Disabilities Act, any person who may require special
accommodation to participate in the meeting should contact the Village Clerk's
Office at 841-3355 at least 72 hours prior the Meeting date.
