A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA APPROVING A CONTRACT AWARD TO
WISCH AND JACKSON CO. OF FLORIDA, INC. FOR INSTALLATION OF AN
AUTOMATED CONTROL SYSTEM FOR THE VILLAGE HALL HVAC SYSTEM
PURSUANT TO PRICING ESTABLISHED BY AN EXISTING CONTRACT WITH
THE SCHOOL DISTRICT OF PALM BEACH COUNTY; AUTHORIZING THE
MAYOR AND VILLAGE CLERK TO EXECUTE A CONTRACT FOR SUCH
SERVICES; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the Village seeks to replace and upgrade the control system for the Village Hall
HVAC system; and
WHEREAS, Village Administration recommends that a contract be awarded to Wisch & Jackson Co.
of Florida, Inc., as the authorized local dealer for Automated Logic Corporation, to provide the Village
with an automated control system for the Village Hall HVAC system, including all required components,
programming, installation, start up and training, utilizing pricing established in an existing
Owner /Manufacturer Agreement with the School District of Palm Beach County; and
WHEREAS, the Village Council determines that the adoption of this Resolution and the waiver of the
competitive bidding requirement is in the best interests of the residents and citizens of the Village of
North Palm Beach.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF
NORTH PALM BEACH, FLORIDA as follows:
Section 1. The foregoing recitals are ratified as true and incorporated herein.
Section 2. The Village Council hereby approves a contract with Wisch & Jackson Co. of Florida,
Inc. for the replacement and installation of the control system of the Village Hall HVAC system and
authorizes the Mayor and Village Clerk to execute a contract for such services, a copy of which is
attached hereto and incorporated herein by reference, on behalf of the Village.
Section 3. The cost of this Contract shall not exceed $45,511.95 and shall be funded from Account
No. A5509 -34657 (Village Hall General Services — Repair and Maintenance of Plumbing, Heating and A/C).
Section 4. This Resolution shall take effect immediately upon its adoption.

CONTRACT
This Contract is made as of the X4 day of ��y� , 2015, by and between the
VILLAGE OF NORTH PALM BEACH, 501 U.S. Highway One, North Palm Beach, Florida,
33408, a Florida municipal corporation ( "VILLAGE "), and WISCH & JACKSON CO. OF
FLORIDA, INC., 861 Jupiter Park Drive, Suite A, Jupiter, FL 33458, a Florida corporation
( "CONTRACTOR "), whose Federal I.D. No. is 65- 0425084.
RECITALS
WHEREAS, the VILLAGE wishes to replace and upgrade the automation /control system for the
Village Hall HVAC system; and
WHEREAS, CONTRACTOR is the authorized local dealer for Automated Logic Corporation,
and the VILLAGE and CONTRACTOR wish to enter into a Contract whereby CONTRACTOR
agrees to replace and upgrade the automation /control system in accordance with the terms,
conditions and pricing established in an existing Owner /Manufacturer Agreement between the
School District of Palm Beach County and Automated Logic Corporation ( "District Contract').
NOW THEREFORE, in consideration of the mutual promises set forth herein, the receipt and
sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
1. Recitals.
The parties agree that the recitals set forth above are true and correct and are fully incorporated
herein by reference.
2. District Contract.
To the extent not expressly modified herein, this Contract incorporates all of the terms,
conditions and obligations set forth in the District Contract as if fully set forth herein. In the
event of an express conflict between the terms of the this Contract and the District Contract,
the terms of this Contract shall control.
Proposal.
CONTRACTOR shall provide the VILLAGE the Village with an automated control system,
including all required components, programming, installation, start up and training at a total
cost of $45,511.95 pursuant to pricing established by the District Contract, as fully set forth in
a Proposal dated May 27, 2015,.as copy of which is attached hereto and incorporated herein
by reference. The services to be provided by the CONTRACTOR shall be commenced
subsequent to the execution and approval of this Contract by the VILLAGE and upon written
notice from the VILLAGE to proceed.
4. Time for Performance.
CONTRACTOR shall coordinate and complete the performance of all services set forth in the
Proposal no later than 90 calendar days after the receipt of written notice to proceed.

5. Compensation.
The VILLAGE shall pay CONTRACTOR for services rendered in accordance with the
provisions of the Local Government Prompt Payment Act, Section 218.70, Florida Statutes, et
seq. CONTRACTOR shall invoice the VILLAGE on a monthly basis based on the products
actually provided and the services actually rendered. The total compensation paid by
VILLAGE to CONTRACTOR pursuant to this Contract shall not exceed $45,511.95 without
the express written authorization of the VILLAGE. In order for both parties herein to close
their books and records, CONTRACTOR will clearly state "final invoice" on the
CONTRACTOR's final /last billing to the VILLAGE. Since this account will thereupon be
closed, any and other further charges if not properly included in this final invoice are waived by
the CONTRACTOR. The VILLAGE will not be liable for any invoice from the
CONTRACTOR submitted thirty (30) days after CONTRACTOR has provided all products and
services to the VILLAGE as set forth in the Proposal.
6. Insurance.
During the term of this Contract, CONTRACTOR shall maintain insurance coverage in the
amounts and of the types specified in the District Contract.
7. Independent Contractor.
CONTRACTOR is, and shall be, in the performance of all services under this Contract, an
Independent Contractor, and not an employee, agent, or servant of the VILLAGE. All persons
engaged in any of the services performed pursuant to this Contract shall at all times, and in all
places, be subject to CONTRACTOR's sole direction, supervision, and control.
CONTRACTOR shall exercise control over the means and manner in which it and its employees
perform the services.
8. Indemnification.
To the fullest extent permitted by applicable laws and regulations, CONTRACTOR shall
indemnify and save harmless and defend the VILLAGE, its officials, agents, servants, and
employees from and against any and all claims, liability, losses, and /or causes of action arising
out of or in any way related to the services furnished by CONTRACTOR pursuant to this
Contract, including, but not limited to, those caused by or arising out of any act, omission,
negligence or default of CONTRACTOR and /or its subcontractors, agents, servants or
employees. CONTRACTOR shall not be required to indemnify the VILLAGE, its officials,
agents, servants and employees when the occurrence results solely from the wrongful acts or
omissions of the VILLAGE, its officials, agents, servants and employees. The terms of this
Section shall survive completion of all services provided for in this Contract as well as the
termination of this Contract for any reason. Nothing contained in this Contract shall create a
contractual relationship with or a cause of action in favor of a third party against either the
VILLAGE or CONTRACTOR, nor shall this Contract be construed a waiver of sovereign
immunity beyond the limited waiver provided in Section 768.28, Florida Statutes.

9. Term and Termination.
This Contract shall remain in effect until the CONTRACTOR has provided all products and
services to VILLAGE as set forth in the Proposal, at which time it shall automatically terminate.
Notwithstanding the foregoing, the VILLAGE shall have the right to terminate this Contract, for
any or no reason, by providing written notice to the CONTRACTOR. In the event of
termination, the VILLAGE shall pay CONTRACTOR for all products and services satisfactorily
provided prior to the date of termination.
10. Warranty.
CONTRACTOR warrants that its services provided under this Contract will be free of defects in
materials and workmanship for a period of one (1) year following completion of those services,
and provides such other warranties as set forth in the District Contract.
11. Miscellaneous Provisions.
A. Failure of a party to enforce or exercise any of its right(s) under this Contract shall not be
deemed a waiver of that parties' right to enforce or exercise said right(s) at any time thereafter.
B. This Contract shall be governed by the laws of the State of Florida. Any and all legal
action necessary to enforce the Contract will be held in Palm Beach County. No remedy herein
conferred upon any party is intended to be exclusive of any other remedy, and each and every
such remedy shall be cumulative and shall be in addition to every other remedy given hereunder
or now or hereafter existing at law or in equity or by statute or otherwise. No single or partial
exercise by any party of any right, power, or remedy hereunder shall preclude any other or
further exercise thereof.
C. If any legal action or other proceeding is brought for the enforcement of this Contract, or
because of an alleged dispute, breach, default or misrepresentation in connection with any
provisions of this Contract, the successful or prevailing party or parties shall be entitled to
recover reasonable attorney's fees, court costs and all expenses (including taxes) even if not
taxable as court awarded costs (including, without limitation, all such fees, costs and expenses
incident to appeals), incurred in that action or proceeding, in addition to any other relief to which
such party or parties may be entitled.
D. If any term or provision of this Contract, or the application thereof to any person or
circumstances shall, to any extent, be held invalid or unenforceable, to remainder of this
Contract, or the application of such terms or provision, to persons or circumstances other than
those as to which it is held invalid or unenforceable, shall not be affected, and every other term
and provision of this Contract shall be deemed valid and enforceable to the extent permitted by
law.
E. All notices required in this Contract shall be hand delivered or sent by certified mail, return
receipt requested, and sent to the addresses appearing on the first page of this Contract.
F. The VILLAGE and the CONTRACTOR agree that this Contract sets forth the entire
agreement between the parties, and that there are no promises or understandings other than those
stated herein. None of the provisions, terms and conditions contained in this Contract may be

added to, modified, superseded or otherwise altered, except by written instrument executed by
the parties hereto. Any provision of this Contract which is of a continuing nature or imposes an
obligation which extends beyond the term of this Contract shall survive its expiration or earlier
termination.
G. The persons executing this Contract on behalf of VILLAGE and CONTRACTOR
affirmatively represent that they have the requisite authority to legally bind such party.
H. CONTRACTOR is aware that the Inspector General of Palm Beach County has the
authority to investigate and audit matters relating to the negotiation and performance of this
Contract, and in furtherance thereof, may demand and obtain records and testimony from
CONTRACTOR. CONTRACTOR understands and agrees that in addition to all other remedies
and consequences provided by law, the failure of CONTRACTOR to fully cooperate with the
Inspector General when requested may be deemed by the VILLAGE to be a material breach of
this Contract justifying its termination.
IN WITNESS WHEREOF, the VILLAGE and CONTRACTOR hereto have made and executed
this Contract as of the day and year first above written.

We are pleased to offer the following proposals for the upgrade of the building
automation /control system for the North Palm Beach Village Hall. Our proposal is based on the
following:
1. Mechanical Plans prepared by JLSD Consulting Engineers dated 9/12/01
2. Our initial meeting and walk -thru and inspection on 1/8/15
The existing HVAC system consists of:
• 1 Air Cooled Chiller (CH -1)
• 2 Constant Speed Chilled Water Pumps (P -1, P -2)
• 1 VAV Air Handling Unit (AHU -1)
• 14 VAV boxes
• 1 OA Supply Fan (SF -1)
• 4 Exhaust Fans interlocked with the operation of AHU -1 (EF -1, 2, 5, 6)
The existing HVAC equipment is controlled by a Johnson Controls system that does not appear
to be working properly.
Included in our proposal is:
• The ability to centrally control and monitor the operation of the Chiller Plant, AHU, VAV
boxes and fans (as well as from any remote PC or tablet with an internet connection).
This will enable immediate notification of any problems and insure equipment is running
properly as well as only running when needed thus reducing operating costs.
• Fine tune the operation of the HVAC equipment to maintain comfort conditions while
only running the equipment when needed. Again, this will improve comfort and reduce
operating costs.
• Utilize both space temperature and humidity to control the operation of the equipment.

o Adding humidity control enables the space to feel more comfortable at slightly
higher room temperatures while saving energy.
Our BASE PRICE proposal provides the following:
• Front End /Operator Work Station /Server Software
• Provide and install Automated Logic native BACnet Building Automation System
server software (WebCTRL) on a PC /server provided by the Village of North Palm
Beach that will enable the building facilities personnel, owners or other
authorized personnel to securely access the Building Automation System from
any PC or tablet that has access to a high speed internet connection.
• Provide new custom graphics depicting the building systems and allowing
authorized personnel to monitor and control these systems via point and click
commands.
• Chiller Plant
• Furnish and install a new Automated Logic DDC control module.
• Provide monitoring and control of the Carrier Chiller via a BACnet
communication interface. (The Carrier chiller has the necessary interface card
installed).
• Provide monitoring and control of the chilled water pumps utilizing the existing
start /stop relays and differential pressure status switches.
• Monitor the chilled water supply temperature (replace the existing chilled water
temperature sensor if required).
• Furnish and install new OA Temperature Sensor.
• VAV AHU
o Remove the existing Johnson controller and replace with new Automated Logic
DDC control module.
• Remove and replace the existing supply air temperature sensors.
• Replace the existing supply air static pressure sensor.
• Re -use the existing supply fan start /stop and VFD speed control.
• Re -use the existing cooling coil control valve.
• Re -use the existing OA Damper and actuator.
• Re -use the existing filter differential pressure switch
• Re -use the existing OA Supply Fan start /stop control relay.
o Re -use the existing BAS network but repair or replace segments as required.
VAV box controls (typical of 14 VAV boxes)
o Remove the existing Johnson VAV box controllers and replace with new
Automated Logic DDC VAV box control modules (complete with new damper
actuators and air flow transducers).
o Furnish and install new room temperature sensors and provide humidity sensors
for two locations.
• Furnish and install new duct temperature sensors in the supply air of the VAV
boxes.
• Re -use the existing BAS network but repair or replace segments as required.

• Exhaust Fans (typ of 4)
o Install new exhaust fan start /stop relays and status sensors and connect to
closest DDC control module.
• Test and Balance
o Following the replacement /upgrade of the controls we would re- balance the
system to insure proper air flow distribution to all offices and proper water flow
through the chilled water system
• We will provide a complete and operating system including all documentation,
software, programming, installation, checkout and start -up.
• Provide training (as much as necessary) to insure the owner and staff is comfortable in
the operation of the system.
BASE PRICE: $45,511.95
