A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF NORTH PALM
BEACH, FLORIDA, AUTHORIZING AND DIRECTING THE MAYOR AND VILLAGE CLERK
TO ENTER INTO AN AMENDMENT TO THE PROFESSIONAL CONSULTING AGREEMENT
WITH HR MANAGEMENT PARTNERS, INC., ATTACHED AS EXHIBIT "A", WHICH
AMENDMENT IS FOR THE PURPOSE OF INCREASING THE SCOPE OF SERVICES TO
INCLUDE A PERSONNEL RULES AND REGULATIONS REVIEW AND UPDATE; AND,
PROVIDING FOR AN EFFECTIVE DATE.
BE IT RESOLVED BY THE VILLAGE COUNCIL OF NORTH PALM BEACH, FLORIDA:
Section 1. The Village Council of the Village of North Palm Beach, Florida, does hereby approve
the amendment to the Professional Consulting Agreement with HR Management Partners, Inc.,
attached as Exhibit "A", which amendment is for the purpose of increasing the scope of services to
include a Personnel Rules and Regulations review and update.
Section 2. The Mayor and Village Clerk are hereby authorized and directed to execute the
amendment with HR Management Partners, Inc. set forth in Exhibit "A" for and on behalf of the
Village of North Palm Beach.
Section 3. This resolution shall take effect immediately upon its adoption.
PASSED AND ADOPTED THIS 23rd DAY OF JANUARY, 2003.

FIRST AMENDMENT TO PROFESSIONAL CONSULTING AGREEMENT
• BETWEEN HR MANAGEMENT PARTNERS, INC. AND THE VILLAGE OF
NORTH PALM BEACH
THIS FIRST AMENDMENT is to that certain Professional Consulting Agreement between HR
Management Partners, Inc. (the "CONSULTANT') and the Village of North Palm Beach (the "VILLAGE") dated
the 28`" day of March, 2002.
WITNESSETH:
WHEREAS, the VILLAGE and CONSULTANT are desirous of amending the Professional Consulting
Agreement dated the 28'" day of March, 2002.
NOW THEREFORE, in consideration of the premises and of the mutual benefits, promises and
agreements herein contained, it is agreed as follows:
Section 2 of the Professional Consulting Agreement is hereby amended to read as follows:
2. Scope of Services. The CONSULTANT shall do, perform and carry out in a professional
manner a comprehensive classification, compensation, and benefits study and personnel rules and
regulations review and update, if authorized by the VILLAGE in writing, that shall include the scope
of services as outlined and attached and heretofore referenced as "Exhibit A" under the terms of this
Agreement. CONSULTANT shall not be bound to report survey response data from any organization
requested to participate in the salary and benefits surveys that declines to provide information.
2. Section 4 of the Professional Consulting Agreement is hereby amended to read as follows:
4. Compensation. The VILLAGE agrees to pay the CONSULTANT a total sum of $35,200.00
which includes professional fees and expenses for tasks 1 through 9 as outlined in Paragraph 2,
Scope of Services. The VILLAGE agrees to pay the CONSULTANT a total sum of $2,000 for task
10, in the event that the option for Task 10 is exercised by the Village, as outlined in Paragraph 5,
Method of Payment.
3. Section 5 of the Professional Consulting Agreement is hereby amended to read as follows:
5. Method of Payment. The CONSULTANTs fee for tasks 1 through 9 will be due and payable
in four equal installments of $8800.00, payable at the initiation of the project, at the completion of the
market analysis, at the submission of the draft report and at the submission of the final report when
all job descriptions and system training have been completed. The VILLAGE shall hold back ten
percent (10%) of each payment until the final report of the CONSULTANT has been accepted by the
Village Council. VILLAGE agrees to provide payment within thirty (30) days of receipt of an invoice
by CONSULTANT. The CONSULTANT'S fee for task 10 shall be payable in one payment of $2,000
after CONSULTANT'S submission of a Draft Manual, CONSULTANT'S subsequent revisions based
on VILLAGE requests for modifications to the Draft Manual, and CONSULTANT'S presentation of a
Final Draft Personnel Rules and Regulations Manual to the Village Council. Remuneration for any
subsequent scheduled meetings, additional Manual revisions, or introduction of new Manual sections
shall be billed at CONSULTANT'S prevailing rate of $125.00 per hour.

4. Exhibit A of the Professional Consulting Agreement is hereby amended by adding a Task 10 as
follows:
10. Personnel Rules and Regulations Review and Update
THE VILLAGE shall have the option to authorize Task 10 as follows:
a. CONSULTANT shall, if authorized by the VILLAGE in writing, update the Village's Personnel
Rules and Regulations to incorporate Resolutions amending the rules and regulations from
May 9, 1997 to present. The number of updated chapters from the previously passed
resolutions shall not exceed ten.
b. CONSULTANT will review the Rules and Regulations and prepare a draft Personnel Rules
and Regulations Manual for review by Village staff within 30 days of project authorization by
the VILLAGE. The draft manual shall include the Resolutions amending the Personnel Rules
and Regulations passed since May 9, 1997. CONSULTANT shall present separately any
additional recommendations for modifications or additions to the document and any
necessary changes to ensure that the Village is in compliance with all applicable Federal and
State laws and regulations.
c. Within 15 days after the completion of the staff review, the CONSULTANT will prepare and
submit the Personnel Rules and Regulations Manual for presentation to the Village Council
at a Workshop Session. No later than 15 days following the Workshop Session, the
CONSULTANT shall prepare and submit for presentation to the Village Council the final
Personnel Rules and Regulations Manual to include changes made by the Village Council
at the Workshop Session.
All terms and provisions of the Professional Consulting Agreement between CONSULTANT and
VILLAGE that are not specifically in conflict with this First Amendment shall remain in full force and
effect.
